Performance Metrics & Reporting: The Provider will track and analyze engagement, audience growth, and content performance across social media platforms. A monthly report will be provided detailing social media growth, engagement metrics, and ad performance. The Provider may adjust content strategies based on analytical insights to optimize results. Payment & Billing: The Client agrees to pay $2,400 per month for the Silver Package, with $200 allocated for social media advertising spend managed by the Provider. Payment is due on the 1st or 15th of each month, as selected by the Client. Payments can be made via Squarespace Subscription Payment (Auto-Billed), PayPal, Venmo, Check, or Cash. Failure to make payment by the due date may result in suspension of services until payment is received. Payments for services rendered are non-refundable unless agreed upon in writing due to extenuating circumstances. Advertising Budget: The Client acknowledges that $200 from the monthly fee is allocated toward social media advertising, managed by the Provider. The Provider will determine the best allocation of ad spend to optimize reach, engagement, and conversions based on the Client’s goals. If the Client wishes to allocate a higher ad budget, a separate agreement must be made in writing. Client Responsibilities: The Client agrees to provide any required brand assets, including logos, images, and brand guidelines, in a timely manner. The Client must provide feedback, approvals, and content materials as needed to ensure the agreed schedule is maintained. If necessary, the Client agrees to provide login credentials or admin access for social media platforms to allow the Provider to manage accounts effectively. Content Ownership & Usage Rights: All content created specifically for the Client, including posts, videos, and graphics, remains the intellectual property of the Client. The Provider reserves the right to use content for portfolio, marketing, and promotional purposes unless the Client requests otherwise in writing. The Client understands that certain stock images, music, or external media may have separate licensing terms, and the Provider will ensure proper usage rights. Community Engagement & Brand Representation: The Provider will engage with audience comments and direct messages as agreed upon. The Client agrees to provide guidelines on preferred brand tone. The Provider will operate within those guidelines but is not liable for user-generated content or external interactions. Confidentiality & Data Protection: Both parties agree not to disclose confidential business information, strategies, or proprietary content without prior consent. The Provider will take reasonable steps to protect any login credentials or sensitive information provided by the Client. Termination Policy: Either party may terminate this agreement with a 1-month written notice. If termination occurs, the Provider will deliver any outstanding content created up to the termination date. If the Client terminates the agreement before the end of the billing cycle, no refunds will be provided for the remaining days of service. Liability & Indemnification: While the Provider will use best practices to enhance the Client’s social media presence, some results, including followers, engagement, and revenue growth, are not guaranteed due to factors beyond the Provider’s control. The Client is responsible for final approval of content, ensuring compliance with industry regulations, and monitoring business-related risks. The Client agrees to hold the Provider harmless from any claims, damages, or losses related to social media interactions, third-party content, or platform restrictions.
